1.About these terms

By accessing or using the website, you confirm that you accept these terms and that you agree to comply with them. If you do not accept these terms, you should not use the website.

These terms apply to the use of the website only. They do not govern the provision of the firm's services, which is set out in a separate written engagement agreed with each client. Where there is any conflict between these terms and an engagement, the engagement prevails in relation to the services it covers.

2.Who we are

4.Accessing the website

5.No advice and no reliance

Any figures, metrics, illustrations and examples shown on the website, including portfolio figures and case studies, are illustrative, may be based on assumptions, and are intended to show how the firm works rather than to represent any particular result.

6.No offer and no client relationship

A relationship between the firm and a client arises only under a separate written engagement, and not through use of the website or through any enquiry submitted by means of it. 7.The Inceo Portal and secure areas

Parts of the website, including the Inceo Portal, are available only to authorised users. Where you are given, or you create, login credentials, you must keep them confidential and must not disclose them to any other person. You are responsible for all activity that takes place under your credentials.

If you know or suspect that your credentials have been disclosed to, or used by, anyone else, you must notify the firm without delay. Inceo Asset Management may disable access to the portal or to any secure area at any time, including where, in its reasonable opinion, you have failed to comply with these terms. Information made available through the portal is provided under the relevant engagement and remains subject to these terms.

8.Intellectual property

All intellectual property rights in the website and in its content, including text, graphics, design, layout, logos, and the Inceo and Inceo Asset Management names and marks, are owned by or licensed to Inceo Group. These rights are protected by law, and all such rights are reserved.

You may view the website and print or download extracts for your own reference, provided that you do not modify them and that you retain any notices of ownership. You must not otherwise copy, reproduce, distribute, republish or commercially exploit any part of the website without the firm's prior written permission. Nothing in these terms transfers any intellectual property rights to you.

9.Acceptable use

You may use the website only for lawful purposes. You must not:

• use the website in any way that breaches any applicable law or regulation, or that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
• attempt to gain unauthorised access to the website, to the server on which it is stored, or to any server, computer or database connected to it;

• collect or harvest information from the website by automated means, or otherwise misuse the content;

You should avoid submitting highly sensitive or confidential information through general website enquiry forms until an engagement has been established. Where you go on to become a client, the firm is required to carry out identity, anti money laundering and related checks, as described in its privacy policy.

Inceo Asset Management has no control over the content of those sites or resources, does not endorse them, and accepts no responsibility for them or for any loss that may arise from your use of them.

In particular, the firm is not liable for any loss of profit, loss of business, business interruption or loss of data, or for any indirect or consequential loss, however arising. The firm's services, where they are provided under an engagement, are governed by the terms of that engagement, which set out the liability position in relation to those services.

The firm's handling of personal data is described in its privacy policy, and its use of cookies is described in that policy and in any separate cookie notice. By using the website, you acknowledge that processing, and you confirm that any information you provide is accurate.

15.Governing law and jurisdiction

These terms, their subject matter and their formation are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with the website or these terms, except that the firm retains the right to bring proceedings against you in the courts of the country in which you are resident or established.

16.General

If any provision of these terms is found to be unlawful or unenforceable, that provision is severed and the remaining provisions continue in force. A failure or delay by the firm in enforcing any provision is not a waiver of its rights. The firm may transfer its rights and obligations under these terms to another organisation, which does not affect your rights under them. A person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions. These terms, together with the privacy policy and any documents referred to in them, set out the basis on which the website may be used.
